Terms of Use

Version 1.0: effective 19 October 2026

1. The agreement

1.1 These Terms of Use (Terms) are an agreement between Backableai Pty Ltd (ABN 16 684 654 886) (Backable, we, us) and the person or business that subscribes to or uses the Backable platform (you).

1.2 The agreement consists of these Terms, the Backable Privacy Policy, and any plan or offer terms shown when you subscribe. If they conflict, these Terms prevail, except that the Privacy Policy governs how we handle personal information.

1.3 By creating an account, subscribing or using the Platform, you accept these Terms. If you accept on behalf of a business, you warrant that you have authority to bind it, and "you" includes that business.

1.4 You must be at least 18 years old and using the Platform for the purposes of a business you own, operate or are establishing.

1.5 Platform means the Backable platform, including all of its features and interfaces, such as Backable Mind, check-ins, The Doing, business pages, social publishing and podcasts, related sub-domains, and any web, mobile or embedded versions. Customer Data, Connected Systems, Insights and Outputs have the meanings given in the Privacy Policy. Fees means the amounts payable for your subscription.

2. Accounts

2.1 You must give accurate registration details and keep them current.

2.2 If your plan allows additional users, you may allow your employees and contractors to use your account (Authorised Users). You are responsible for your Authorised Users' compliance with these Terms.

2.3 You must use a strong, unique password, keep your credentials confidential and not share logins. You are responsible for activity under your account, except to the extent it results from a failure of Backable's own systems or security. You must notify us promptly at support@backable.ai of any unauthorised access.

3. Subscriptions, fees and payment

3.1 Fees are as shown on our pricing page or in the app when you subscribe. Fees are in Australian dollars and include GST unless stated otherwise.

3.2 Subscriptions are billed in advance for the selected period and renew automatically for the same period unless you cancel before the renewal date. We will remind you before an annual subscription renews.

3.3 You authorise us and our payment processor to charge your nominated payment method for Fees when due. If a payment fails, we may suspend access after giving you 7 days' notice.

3.4 We may change Fees by giving at least 30 days' notice. Changes apply from your next renewal. If you do not accept a change, you may cancel before it takes effect.

3.5 You may cancel at any time in your account settings. Cancellation stops future renewals, and access continues until the end of the paid period. Except as required by the Australian Consumer Law, Fees already paid are non-refundable.

3.6 Free trials, promotional pricing and referral credits apply only as described in the relevant offer. Unless you cancel before a free trial ends, your subscription starts and Fees become payable.

3.7 Participation in our creator and affiliate programme is governed by separate programme terms.

4. Acceptable use

4.1 You must use the Platform only for lawful business purposes and in accordance with these Terms.

4.2 You must not, and must not allow anyone else to:

  • Reverse engineer, decompile or disassemble the Platform, except to the extent that cannot lawfully be prohibited;
  • Attempt to recreate or derive the Platform's methods, frameworks, prompts or models, or use Outputs or system behaviour to build or train a competing product or model;
  • Scrape or systematically extract Outputs by automated means;
  • Resell, sublicense or provide access to the Platform to others;
  • Upload malware or anything that interferes with the Platform or its security;
  • Circumvent usage limits, access controls or rate limits;
  • Supply or publish anything that is unlawful, misleading, defamatory, infringing or in breach of a social platform's rules; or
  • Supply information you have no right to supply.

5. Customer Data

5.1 You retain ownership of your Customer Data. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display it as needed to provide, secure and support the Services, and to use it as described in the Privacy Policy.

5.2 By uploading or supplying any material, you confirm that you have all rights, permissions and consents needed to do so, including under any confidentiality agreement and privacy law. We do not verify this, and you are solely responsible for any failure to obtain them, including under clause 12.

5.3 User-level tuning on your Customer Data is used only for your account. We will use de-identified data to train Backable's own models only as set out in the Privacy Policy, including its notice and opt-out.

5.4 You are responsible for the accuracy, completeness and currency of Customer Data, and for keeping your own copies of anything you need. The Platform is not a records-management or back-up service.

6. Connected Systems and conversations

6.1 When you connect a third-party system, such as accounting software, a bank feed, Google Analytics or a social media account, you authorise us to access it and retrieve data from it, and where you direct, to post to it, for the purposes of the Services. Your use of that system is governed by your agreement with its provider, and we are not responsible for its availability, accuracy or conduct.

6.2 You may disconnect a Connected System at any time. Disconnection stops future access but does not delete data already retrieved, which is retained under the Privacy Policy.

6.3 Before inviting anyone else into a conversation, you must tell them how their information will be used and obtain their consent to any recording, in compliance with applicable recording, surveillance and privacy laws.

7. Outputs and publishing

7.1 Subject to payment of Fees, you own the Outputs generated for you, excluding Backable's templates, frameworks and other intellectual property in them, which we license to you to use for your business.

7.2 Outputs are AI-generated and may be inaccurate, incomplete, similar to content generated for others, or unsuitable for publication. You must review every Output before relying on or publishing it.

7.3 When you approve an Output for publication, or set up scheduled publishing, you authorise us to publish it on your business page or connected accounts. You are the publisher and are solely responsible for published content, including its accuracy, compliance with advertising, consumer and privacy law, and any claims made in it.

7.4 Published content may be copied, indexed or shared by others, and removing it from the Platform or a connected account may not remove it everywhere.

8. No professional advice

8.1 Insights, Outputs and suggestions are general information and opinion only. They are not financial product advice, credit assistance, tax agent services, legal advice, or medical or health advice, and have not been prepared with regard to your objectives, financial situation or needs.

8.2 Compliance and deadline reminders are general prompts only. They do not confirm that any obligation applies to you or that a reminder is complete or correct.

8.3 Every suggestion the Platform makes is accompanied by a recommendation to obtain advice from an appropriately qualified professional. You should do so before acting on any Insight or Output, and you are responsible for decisions you make.

9. Intellectual property and confidentiality

9.1 Backable owns all intellectual property in the Platform, including its models, prompts, algorithms, frameworks, methodologies, templates and scoring systems, and any improvements to them. No rights are granted to you except those expressly set out in these Terms.

9.2 Feedback you give us may be used freely without obligation to you.

9.3 Each party must keep the other's confidential information confidential and use it only for the purposes of this agreement. Your Customer Data and unpublished Outputs are your confidential information. The Platform's non-public features and methodologies are ours. This does not apply to information that is public through no breach, independently developed, lawfully received from a third party, or required to be disclosed by law.

9.4 We handle personal information in accordance with the Privacy Policy.

10. Availability and changes to the Platform

10.1 We aim to keep the Platform available but do not guarantee uninterrupted or error-free access. We may carry out scheduled and emergency maintenance.

10.2 The Platform is under continuous development. We may change, add or withdraw features, integrations and models at any time. If we withdraw a feature that is material to your paid plan, you may cancel and receive a pro-rata refund of prepaid Fees for the unused period.

10.3 Third-party providers, including Connected Systems and social platforms, may change, restrict or discontinue their integrations at any time. We are not liable for any resulting failure, delay or data loss.

11. Liability

11.1 Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded. To the extent permitted by law, where we are liable for failure to comply with a consumer guarantee, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.

11.2 Exclusions. Subject to clause 11.1, and to the maximum extent permitted by law, the Platform, Insights and Outputs are provided "as is" and "as available", and we are not liable for:

  • Any decision made, or action taken or not taken, based on an Insight or Output;
  • Content you publish, or any consequence of publishing it;
  • Any inaccuracy, error or omission in Customer Data or data from a Connected System; or
  • Any indirect, incidental or consequential loss, or loss of profit, revenue, anticipated savings, business opportunity, goodwill or data.

11.3 Cap. Subject to clause 11.1, our total aggregate liability for all claims arising out of or in connection with these Terms or the Platform is limited to the Fees you paid us in the 12 months before the event giving rise to the claim.

11.4 Clauses 11.2 and 11.3 do not limit your liability for Fees, for breach of clauses 4 or 9, or under clause 12.

12. Indemnity

You indemnify Backable against any loss, claim or cost (including reasonable legal costs) arising from:

  • Your Customer Data, including any claim that supplying or processing it infringes a third party's rights or breaches privacy law;
  • Content you publish through the Platform; or
  • Your breach of these Terms.

13. Suspension and termination

13.1 You may cancel at any time under clause 3.5.

13.2 We may suspend or terminate your access immediately by notice if you materially breach these Terms and, where the breach can be remedied, fail to remedy it within 14 days of notice; if you breach clause 4; or if required by law.

13.3 We may terminate for convenience by giving 30 days' notice and refunding prepaid Fees for the unused period.

13.4 On termination, your access ends, scheduled publishing and reminders stop, and Customer Data and Outputs are retained and deleted as set out in the Privacy Policy. You may request an export of your Outputs before the end of your final paid period.

13.5 Clauses 5.1 (as needed for retention), 5.2, 7.3, 7.4, 9, 11, 12, 13.4 and 14 survive termination.

14. General

14.1 Changes to these Terms. We may amend these Terms by publishing an updated version and giving at least 30 days' notice by email or in-app notification. Continued use after the effective date is acceptance. If you do not accept a change, you may cancel before it takes effect and receive a pro-rata refund of prepaid Fees for the unused period.

14.2 Notices. We may give notices by email to your account address or in-app. You may give notices to support@backable.ai.

14.3 Assignment. You may not assign these Terms without our consent. We may assign them to a related body corporate or to a successor to our business on notice to you.

14.4 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than an obligation to pay Fees.

14.5 Entire agreement. The documents in clause 1.2 are the entire agreement between the parties about their subject matter.

14.6 Severability and waiver. If any provision is unenforceable, it is to be read down to the extent necessary, or severed, without affecting the rest. A failure to enforce a right is not a waiver of it.

14.7 Governing law. These Terms are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them.
